Can I appoint someone to represent me at the 2022/2023 Annual General Meeting? How do I do that?
You have the right to appoint a person to represent you at the 2022/2023 Annual General Meeting. This right may be exercised by inserting in the space provided on the front of this page the name of the other person you wish to appoint as proxy-holder. To be valid, this proxy must be signed and deposited with the Toronto People With AIDS Foundation at 163 Queen St. E, 2nd Floor, Toronto, Ontario, email to members@pwatoronto.org, prior to the membership meeting.
Does my proxy-holder have to be a member of PWA?
Yes, the proxy-holder must be a member of PWA. In addition, a member of PWA may only act as proxy for one other member of PWA.
What happens if my proxy-holder has also been appointed as proxy-holder by some other member?
A proxy-holder can cast a vote on behalf of only one member. If two (or more) members have appointed the same proxy-holder, then only the first proxy received naming that proxy-holder will be valid. Any other proxies received naming that proxy-holder will be treated as if they had not named that proxy-holder. It is important that you talk to the member you are proposing to name as proxy-holder to ensure they are not being similarly appointed by anyone else.
What happens if I don’t specify how I want the proxy-holder to vote?
If you do not check off either of the boxes above, then the proxy-holder has discretionary authority to vote as she or he thinks fit.
What happens if I forget to sign the proxy?
The proxy is not valid and your proxy-holder has no right to vote on your behalf.
What happens if I forget to date the proxy?
If the proxy is not dated in the space provided, it is deemed to have the date on which it is received by PWA.
